Terms of Service

These Terms of Service govern all services provided by Clinitive. By accepting a proposal, paying an invoice or engaging our services, you agree to these terms.
If you have any questions before starting a project, we’re always happy to clarify anything.
1. About Clinitive
Clinitive is a digital design studio specialising in website design, digital brand identity and social media design systems for healthcare, wellness, aesthetics and service-based businesses.
2. Project Proposals & Scope
Every project begins with a proposal outlining the agreed scope of work, deliverables, timeline and payment schedule.
Only the services listed within the approved proposal are included.
Any additional requests made outside the agreed scope may require a separate quotation.
3. Payments
Projects are completed in clearly defined milestones.
Each milestone must be paid before work on that phase begins.
The project payment schedule is outlined within your individual proposal.
Invoices must be settled before the next project phase can commence.
Clinitive reserves the right to pause work until outstanding invoices have been paid.
4. Deposits
An initial deposit is required to secure your project within our schedule.
Once work has commenced, the deposit becomes non-refundable, as it covers planning, research and project preparation already undertaken.
5. Revisions
Each package includes a specified number of revision rounds, as detailed within the proposal.
Revision rounds are intended to refine the agreed design direction, not to restart the project or introduce an entirely new concept.
Additional revisions or work outside the agreed scope may be charged at Clinitive’s current hourly rate.
Current additional support rate:
£60/hour
6. Client Responsibilities
To keep projects running smoothly, clients agree to:

Provide requested information, content and assets within agreed timeframes.

Ensure all supplied content, images and materials are accurate and legally owned or licensed.

Review deliverables carefully before approving each project phase.

Notify Clinitive of any issues during the included post-launch support period.
Delays in providing feedback or required materials may affect the agreed timeline.
7. Project Delays & Inactive Projects
If client feedback or required materials are delayed, the project may be paused.
Projects inactive for more than 30 consecutive days may be archived.
Archived projects may require:
-
a revised timeline,
-
a revised quotation,
-
or a restart fee,
depending on project status and scheduling.
8. Design Approval
Each project phase requires client approval before work progresses to the next stage.
Approval confirms acceptance of the work completed during that phase.
Changes requested after approval may be treated as additional work and quoted separately.
9. Intellectual Property
Until full payment has been received, all concepts, wireframes, designs, branding, graphics, layouts and creative work remain the intellectual property of Clinitive.
Clients may not reproduce, implement or instruct third parties to develop unpaid designs without Clinitive’s written permission.
Once the final invoice has been paid in full, ownership of the approved final deliverables transfers to the client, unless otherwise agreed.
10. Source Files
Unless specifically included within the proposal:

Figma working files are not included.

Internal working documents remain the property of Clinitive.
Where applicable, branding projects include final logo files in appropriate formats for both print and digital use.
Social media projects include editable Canva templates where stated.
11. Third-Party Costs
Project pricing does not include ongoing third-party costs unless specifically stated.
These may include:

Wix subscription plans
-
Domain registration
-
Business email services
-
Premium plugins
-
Third-party software subscriptions
-
Premium font licences requested by the client
-
Premium stock assets requested specifically for the project
Standard stock photography sourced through Clinitive’s licensed libraries may be included where appropriate.
12. Website Hosting & Accounts
Clinitive does not host client websites.
Websites are developed within the client’s own Wix account wherever possible.
Clients retain ownership and control of their Wix account, subscriptions and domain registration.
13. SEO
Every website includes foundational on-site SEO best practices appropriate to the project.
This may include:

website structure
-
page hierarchy
-
metadata
-
headings
-
internal linking
-
keyword-informed content
-
image optimisation guidance
Search engine rankings, lead generation and business growth depend on many additional factors outside website design, including:
-
ongoing SEO strategy
-
Google Business Profile optimisation
-
backlinks
-
reviews
-
local competition
-
content marketing
-
broader marketing activity
For this reason, Clinitive cannot guarantee search rankings, enquiries or business outcomes.
Advanced SEO services are not included unless specifically agreed.
14. Post-Launch Support
Every website project includes a 14-day post-launch support period.
During this time, Clinitive will correct:

technical issues
-
layout inconsistencies
-
minor visual adjustments
-
genuine implementation errors
This period does not include:
-
structural redesigns
-
additional pages
-
new functionality
-
new content
-
changes outside the original project scope
After the support period, additional work is billed at the current hourly rate.
15. Portfolio Rights
Unless otherwise agreed in writing, Clinitive may display completed projects within:

our portfolio
-
our website
-
case studies
-
presentations
-
marketing materials
-
social media
Confidential information will never be disclosed without permission.
16. Confidentiality
Any confidential business information shared during the project will be treated respectfully and confidentially.
Where appropriate, Clinitive is happy to enter into a separate Non-Disclosure Agreement (NDA).
17. Communication
Official project communication takes place through:

Email
-
Scheduled meetings
-
Written project documentation
Messages sent via WhatsApp, social media or other informal platforms are not considered official project approvals or revision requests unless confirmed by email.
18. Limitation of Liability
Clinitive will always use reasonable care and professional skill when delivering services.
However, Clinitive shall not be liable for indirect or consequential losses, including loss of profit, business interruption or loss of business opportunity.
To the fullest extent permitted by law, Clinitive’s total liability shall not exceed the total fees paid for the specific project giving rise to the claim.
19. Force Majeure
Clinitive shall not be held responsible for delays or failure to perform services caused by circumstances beyond reasonable control, including but not limited to:

natural disasters

illness
-
internet outages
-
hosting failures
-
power failures
-
government restrictions
-
other unforeseen events
20. Governing Law
These Terms of Service are governed by the laws of England and Wales.
Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
